Verizon to redeem debt securities on September 21, 2026

Verizon will redeem its 4.329% notes due 2028, with holders receiving the greater of par value or discounted remaining payments, plus accrued interest. The redemption price will depend on Treasury rates and will be calculated before settlement.

Verizon Communications Inc. (NYSE, NASDAQ: VZ) announced August 20, 2026, that it will redeem in full its 4.329% Notes due 2028 on September 21, 2026. The notes have $1,250,000,000 in principal outstanding. The redemption represents repayment of the debt security ahead of its scheduled 2028 maturity. Verizon will calculate the redemption price under the notes’ terms on the third Business Day preceding the Redemption Date. The price will equal the greater of 100% of the principal amount being redeemed or the sum of the present values of the remaining scheduled principal and interest payments. Those payments will be discounted to the Redemption Date on a semiannual basis, using a 360-day year consisting of twelve 30-day months, at the Treasury Rate defined in the notes plus 25 basis points. In either case, Verizon will pay accrued and unpaid interest on the principal amount being redeemed through, but excluding, September 21. Consequently, the final cash payment will depend on the applicable Treasury Rate and remaining payment schedule, rather than solely on the $1.25 billion principal amount. The notes’ identifiers are CUSIP 92343V ER1 and ISIN US92343VER15. Questions regarding the redemption notice and related materials should be directed to the paying agent, U.S. Bank Trust Company, National Association, at 333 Thornall Street, Edison, New Jersey 08837, United States of America, or at 1-800-934-6802.
