A2Gold Trades Bolo for Shares and Milestone-Dependent Upside

A2Gold Trades Bolo for Shares and Milestone-Dependent Upside

A2Gold agreed to sell Nevada's Bolo project for C$1.5 million in Super Gold shares, plus as much as C$2.8 million tied to resources and a PEA. The consideration is illiquid and conditional.

A2Gold has agreed to sell its Bolo gold project in Nevada to Super Gold Corp., but the headline C$1.5 million payment is not cash. At closing, A2Gold is due to receive 3.75 million Super Gold shares valued at C$0.40 each, with the possibility of another C$2.8 million in milestone payments.

The structure gives A2Gold exposure to Bolo after transferring direct ownership, while reducing the immediate burden of maintaining the project. Super Gold must replace an approximately US$198,500 reclamation bond and reimburse current claim fees. Closing also depends on conditions including bonding, permits, title and an estoppel arrangement.

The equity consideration will not be freely tradable immediately. Twenty-five percent of the Super Gold shares can be released after a qualifying public transaction, with another 25% released after six, 12 and 18 months. Super Gold is required to use commercially reasonable efforts to complete a going-public transaction within 12 months, and no later than 18 months subject to permitted extensions.

Those terms create both upside and liquidity risk. If Super Gold has not gone public within 12 months, A2Gold is entitled to a C$200,000 cash payment. If the process has not been completed within 18 months, A2Gold may be able to elect a reconveyance of Bolo, subject to the agreement's conditions and cure provisions. That remedy is not the same as guaranteed cash proceeds.

The contingent consideration depends on future technical progress. A2Gold may receive cumulative payments of as much as C$2.4 million when specified mineral-resource thresholds are achieved and another C$400,000 after a preliminary economic assessment. If Bolo is later sold for at least C$25 million, the maximum unpaid portion of those C$2.8 million milestones becomes earned.

Bolo consists of 187 unpatented mining claims and one patented claim. The transaction lets A2Gold focus on Eastside, its other Nevada project, where the company reports inferred resources of 1.4 million ounces of gold and 8.8 million ounces of silver. Inferred resources are not mineral reserves, and Eastside has not demonstrated economic viability.

For shareholders, the transaction should be valued in layers. The C$1.5 million share payment depends on Super Gold's value and liquidity, the C$2.8 million is conditional, and the C$200,000 backstop addresses delay rather than guaranteeing a public listing. The clearest near-term benefit is that Super Gold assumes the bonding and current claim-cost obligations if the deal closes.
