Strategy Shareholders Approve Daily Preferred Dividends
Strategy shareholders approved daily dividend record dates for STRC, STRF, STRK and STRD, changing payment timing rather than annual rates and preserving the board's declaration and legal-funds conditions.
Strategy shareholders approved amendments that allow four U.S.-listed preferred stocks to accrue dividends for every calendar day. Preliminary results showed 99.3% of votes cast supported the proposal, according to the company. The change affects payment timing for STRC, STRF, STRK and STRD, but it does not increase their annualized dividend rates.
For STRC, the first daily record date is scheduled for November 1, with payment on the next business day, November 2. STRF, STRK and STRD are scheduled to begin with January 1 record dates and January 4 payments, covering the New Year weekend. After that, each calendar day can serve as a record date, including weekends and holidays, with the related dividend payable on the next business day.
The amendments still depend on the filing and effectiveness of the revised certificates of designations. Each payment also remains subject to declaration by Strategy's board or an authorized committee and must come from legally available funds. Daily accrual therefore does not turn the securities into guaranteed deposits or debt obligations.
The stated annual rates are unchanged. STRC currently carries a variable rate of 12% on a $100 stated amount, while STRF and STRD carry fixed 10% rates and STRK carries an 8% rate. Strategy has said the change divides the same annual dividend into smaller, more frequent payments. It may reduce the time investors wait to reinvest cash, but it does not improve the underlying coverage of the obligations.
Only holders of Strategy common stock as of the September 25 record date were entitled to vote on the amendments. The preferred holders whose payment schedules change did not vote on the proposal. That governance detail matters because the capital structure links common shareholders, preferred dividends and Strategy's bitcoin-backed financing model.
The company has promoted daily dividends as part of a market that trades continuously, but operational details will determine the investor experience. Brokerage processing, dividend reinvestment availability and weekend payment aggregation can affect how quickly cash becomes usable. Strategy says reinvestment-plan support depends on each broker.
For investors, the approval is mainly a liquidity and product-design event. It makes the preferred shares accrue income on a daily cadence while leaving annual rates, board discretion and legal payment limits intact. Credit quality still depends on Strategy's assets, financing capacity and ability to meet its preferred and debt obligations, not on how frequently the dividend is divided.
