Strategy's Daily STRC Dividend Plan Still Needs Shareholder Approval

Strategy's Daily STRC Dividend Plan Still Needs Shareholder Approval

Strategy conditionally declared daily STRC dividends at a 12% annual rate, but the November schedule depends on an October 28 shareholder vote and amended terms.

Strategy has conditionally declared daily dividends on its STRC preferred stock for every calendar day in November, including weekends. The plan is not yet final. It depends on shareholder approval at a special meeting on October 28 and on amended preferred-stock terms becoming effective by November 1.

The proposed cadence would replace STRC's semi-monthly schedule. Strategy's October 15 filing set a 12% annual dividend rate for November and listed daily record dates, with payments generally made on the next business day.

Why frequency matters less than funding

Daily payments could improve liquidity and reduce the time between earning and receiving a dividend. Strategy argues that the structure may help STRC trade closer to its $100 target price and broaden demand among investors using tokenized or continuous trading platforms.

The change does not reduce the annual dividend burden. A 12% annual rate remains expensive funding, regardless of whether payments arrive twice a month or every day. The economic question is whether tighter trading spreads and stronger demand can lower Strategy's future cost of capital.

Executive Chairman Michael Saylor said STRC traded roughly 700 basis points above the 10-year Treasury yield and suggested that spread could narrow by 200 to 300 basis points. That is a target, not an assured outcome. Credit investors will continue to assess Strategy's cash reserves, Bitcoin exposure and ability to maintain distributions through volatile markets.

A conditional proposal, not a completed change

The distinction between declaration and effectiveness is important. Strategy's board declared the November dividends subject to a contingent condition, while shareholders still must approve the governing amendments. Investors should not treat the daily schedule as unconditional before the vote and filing.

If approved, the daily cadence may make STRC easier to trade and market. For Strategy common shareholders, however, the main issue remains the cost of preferred capital used to support Bitcoin purchases. A lower spread would help; a daily payment calendar alone does not create that benefit.

The October 28 vote, STRC's trading price around $100 and the yield spread over Treasuries are the next measurable signals.
