SouthGobi Sets December Shareholder Meeting After Months of Delay

SouthGobi will hold its special shareholder meeting on December 17 in Vancouver, with a November 12 record date. The announcement resolves timing but leaves the agenda to a later management circular.

SouthGobi Resources has fixed a new date for its delayed special shareholder meeting, giving investors a timetable but not yet the full decision package.

The coal producer said the meeting will be held in Vancouver on Thursday, December 17, 2026, which is Friday, December 18 in Hong Kong. Shareholders of record on November 12 will be entitled to receive notice and vote, subject to the usual rules for any adjournment or postponement.

The meeting was originally scheduled for August 27 and had been postponed while the company finalized its management proxy circular. Earlier disclosures tied the process to shareholder approval required under a March 2026 deferral agreement, with an approval deadline extended to December 31.

That timing makes the new date relevant. A December 17 meeting leaves little room before the extended year-end deadline if documents, voting arrangements or approvals face another delay. At the same time, setting a date does not tell investors how the vote will turn out or whether every condition under the agreement will be satisfied.

The current announcement says the management information circular will be distributed at a later date. Until shareholders receive that document, they do not have the complete agenda, board recommendations or detailed voting instructions in this notice. Investors should therefore distinguish the confirmed logistics from the still-pending substance. The announcement also does not disclose any change to the company's operations, financing or coal production, so its immediate economic effect is limited to governance and timing.

SouthGobi is listed in Hong Kong under 1878 and on the TSX Venture Exchange under SGQ. The corrected security identity matters because the source record carried an unrelated generic ticker.

For now, the update removes uncertainty about when shareholders are expected to meet. The next material disclosure is the circular, because it should explain the resolutions, the board's rationale and the consequences if approval is not obtained before the extended deadline.
