Salesforce's $5.66B Braze Deal Puts a Price on Marketing AI

Salesforce's $5.66B Braze Deal Puts a Price on Marketing AI

Salesforce agreed to pay $47.50 a share for Braze, a 58% premium, adding real-time marketing technology while accepting integration and valuation risks and execution questions for investors.

Salesforce is paying $5.66 billion for Braze, placing a concrete value on software that turns live customer behavior into personalized marketing. The all-cash offer of $47.50 per Class A share is 58% above Braze's previous close of $30.04.

The strategic logic is straightforward. Braze coordinates messages across apps, websites, email and messaging services, then uses customer behavior to adjust content, offers, channel and timing. Salesforce can use that capability to strengthen Marketing Cloud as enterprise software buyers demand measurable returns from artificial intelligence rather than generic AI features.

The transaction is expected to close in Salesforce's fiscal 2028, subject to shareholder and regulatory approvals. Salesforce said the purchase does not change its fiscal 2027 outlook. The agreement also assigns meaningful break costs: $300 million for Salesforce and $191.4 million for Braze under specified circumstances.

For Salesforce investors, the question is not whether Braze owns useful technology. It is whether Salesforce can integrate the platform and earn an adequate return after paying a large premium. Braze traded below the offer price after the announcement, reflecting the time and closing risk that remain before shareholders receive cash.
