BridgeBio Pharma Announces Launch of Secondary Offering of Common Stock on Behalf of an Existing Shareholder

BridgeBio Pharma said KKR Genetic Disorder L.P. is offering 5 million shares in a proposed secondary sale. BridgeBio will neither sell shares nor receive proceeds, and completion remains subject to market conditions.

BridgeBio Pharma, Inc. (Nasdaq: BBIO), a commercial-stage, multi-product biopharmaceutical company developing medicines for genetic conditions, announced Aug. 13, 2026, the launch of a proposed secondary public offering of 5,000,000 common shares by existing shareholder KKR Genetic Disorder L.P. BridgeBio is not selling shares and will receive no proceeds. Accordingly, the transaction is not a primary capital raise and will not directly increase the company’s cash available for drug development. Investors may instead focus on the potential effect of additional tradable shares on supply, ownership and market dynamics. William Blair, Goldman Sachs & Co. LLC and KKR are acting as joint book-running managers. The offering is subject to market and other conditions, and there is no assurance regarding whether or when it will be completed, or its final size and terms. The securities are being offered under BridgeBio’s automatic shelf registration statement on Form S-3ASR, File No. 333-297701, which was filed with the Securities and Exchange Commission and became effective automatically on July 24, 2026. A prospectus supplement and accompanying prospectus will be filed with the SEC, with final terms disclosed in the final prospectus supplement. The documents will be available through the SEC’s website at www.sec.gov. BridgeBio says it aims to develop transformative medicines for genetic conditions, where millions of people lack treatment options and small patient populations can make development commercially challenging. Its decentralized hub-and-spoke model uses autonomous teams focused on individual conditions, supported by a central hub providing clinical, regulatory and commercial capabilities. The company cautioned that forward-looking statements are subject to risks and uncertainties, including those described in its 2025 Form 10-K, its Form 10-Q reports for the quarters ended March 31 and June 30, 2026, and other SEC filings. BridgeBio also cited competition, rapid industry change and emerging risks. Actual results may differ materially, and the company undertakes no obligation to update its statements except as required by law.
