Apnimed, Inc. Reports Inducement Grants under Nasdaq Listing Rule 5635(c)(4)

Apnimed granted options covering 428,428 shares to 10 new employees under its 2026 Inducement Plan, supporting workforce expansion as AD109 advances toward a February 28, 2027 PDUFA goal date.

Apnimed, Inc. (Nasdaq: APMD), a late-stage clinical pharmaceutical company developing oral therapies for sleep-related breathing diseases, announced inducement grants to 10 new non-executive employees. On August 31, 2026, the compensation committee of Apnimed’s board of directors granted non-qualified stock options covering an aggregate of 428,428 shares of common stock under the Company’s 2026 Inducement Plan. The board adopted the plan on August 21, 2026. Each option has an exercise price of $26.85 per share, equal to Apnimed’s closing trading price on September 1, 2026. One-fourth of the shares underlying each option will vest on the first anniversary of the applicable employee’s start date, with the remaining shares vesting in equal monthly installments over the following three years. Vesting is subject to continued employment on each vesting date. The awards were granted as employment inducements under Nasdaq Listing Rule 5635(c)(4). For investors, the grants support recruitment as Apnimed advances its pipeline while creating potential future dilution. Apnimed is focused on discovering, developing and commercializing novel oral therapies addressing the neurobiology of sleep-related breathing diseases. The Company believes once-nightly oral drugs could expand diagnosis and treatment access for people with obstructive sleep apnea, or OSA. It also believes multiple drugs with differing mechanisms could address OSA’s heterogeneous pathophysiology. Its lead product candidate, AD109, is designed to improve oxygenation in people living with OSA. Apnimed believes AD109 could help establish a new oral treatment paradigm in a market historically limited to devices or invasive surgeries. AD109 has completed two Phase 3 clinical trials for mild, moderate and severe OSA. Apnimed’s New Drug Application for AD109 has been assigned a Prescription Drug User Fee Act goal date of February 28, 2027. That regulatory milestone remains a key catalyst, while execution, approval and eventual commercialization represent important risks for investors.
